    of prospective Customers to evaluate the Customer s application for use of the MI Services and to conduct continuing security monitoring Mailout Interactive uses information it collects from Customers including but not limited to the Client Email List in connection the completion of all mailings on behalf of the Customers Mailout Interactive may use such information to operate maintain and enhance the MI Services and other services offered by Mailout Interactive Mailout Interactive also uses Customer information to bill Customers for their use of Mailout Interactive s services and to monitor compliance with the rules and policies of the MI Services Mailout Interactive compiles and analyzes its Customers information into aggregated research reports Except as may be otherwise agreed in a separate agreement between Mailout Interactive and any Customer Mailout Interactive may share this aggregated data with its business partners However except as set forth below aggregated information is not identified with any particular Customer Customer specific information or any particular Customer s Representative or any particular Client Email List Principle 6 Accuracy Personal information shall be as accurate complete and up to date as is necessary for the purposes for which it is to be used Customer update or deletion of information collected by Mailout Interactive Customers have a responsibility to keep certain information current particularly with respect to authorized representatives Customers may correct change or update the Customer Information Client Email Lists and information about their authorized representatives through the use of the customer login password and PIN at to industrymailout com mymailout com advisormailout com or mailoutinteractive com as applicable Principle 7 Safeguards Personal information shall be protected by security safeguards appropriate to the sensitivity of the information Information Sharing Mailout Interactive and its authorized representatives have access to the Customer Information including the Client Email Lists Mailout Interactive will not disclose sell rent license exchange or release Customer Information to third parties except when Mailout Interactive has permission from Customer or when Mailout Interactive believes in good faith that the law requires it or under the circumstances described below Mailout Interactive will disclose portions of the Customer Information such as bank account numbers to Customer s banks which process payments Each Customer s Mail Tracking Information will contain certain read rate article open rate and image open rate information that Mailout Interactive maintains for Customers while such Customer uses the MI Services Mailout Interactive may disclose Customer Information when Mailout Interactive has reason to believe that disclosing Customer Information is necessary to identify contact or bring legal action against someone who may be violating the terms of use for the MI Services or may be causing injury to or interference either intentionally or unintentionally with Mailout Interactive rights or property other Mailout Interactive Customers or anyone else who could be harmed by such activities Mailout Interactive may share aggregated Customer Information with any third parties From time to time Mailout Interactive may retain the services of third party service providers and consultants Mailout Interactive may allow

    confidential except through a breach of this Agreement by the receiving party or iv is independently developed by the receiving party Representations and Warranties Warranties by Customer Customer Materials Customer represents and warrants that Customer s services products materials data and information used by Customer in connection with this Agreement as well as Customer s and End Users use of ASP Services does not and will not during the term of this Agreement operate in any manner that would violate any applicable law or regulation Customer hereby represents and warrants that any data content or materials used stored or created by Customer in the course of using the Access Services will comply with all applicable laws and will not infringe the copyright trade secret privacy publicity or other rights of any third party Breach of Warranties In the event of any breach or reasonably anticipated breach of any of Customer s warranties herein in addition to any other remedies available at law or in equity ASP will have the right to immediately in ASP s sole discretion suspend any related Access Services if deemed reasonably necessary by ASP to prevent any liability for ASP Warranties and Disclaimers by ASP THE ASP SERVICES ARE PROVIDED AS IS AND CUSTOMER S USE OF THE ASP SERVICES IS AT ITS OWN RISK ASP DOES NOT MAKE AND HEREBY DISCLAIMS ANY AND ALL OTHER EXPRESS OR IMPLIED WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY FITNESS FOR A PARTICULAR PURPOSE NONINFRINGEMENT AND TITLE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING USAGE OR TRADE PRACTICE ASP DOES NOT WARRANT THAT THE ASP SERVICES WILL BE UNINTERRUPTED ERROR FREE OR COMPLETELY SECURE Limitations of Liability Exclusions ASP WILL NOT BE LIABLE TO CUSTOMER FOR ANY LOST REVENUE LOST PROFITS REPLACEMENT GOODS LOSS OF TECHNOLOGY RIGHTS OR SERVICES INCIDENTAL PUNITIVE INDIRECT OR CONSEQUENTIAL DAMAGES LOSS OF DATA OR INTERRUPTION OF BUSINESS EVEN IF ASP IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES WHETHER UNDER THEORY OF CONTRACT TORT INCLUDING NEGLIGENCE STRICT LIABILITY OR OTHERWISE Maximum Liability ASP S MAXIMUM AGGREGATE LIABILITY TO CUSTOMER RELATED TO OR IN CONNECTION WITH THIS AGREEMENT WILL BE LIMITED TO THE TOTAL AMOUNT PAYABLE BY CUSTOMER TO ASP HEREUNDER FOR THE PRIOR TWELVE 12 MONTH PERIOD Basis of the Bargain Failure of Essential Purpose Customer acknowledges that ASP has set its prices and entered into this Agreement in reliance upon the limitations of liability and the disclaimers of warranties and damages set forth herein and that the same form an essential basis of the bargain between the parties The parties agree that the limitations and exclusions of liability and disclaimers specified in this Agreement will survive and apply even if found to have failed of their essential purpose Indemnification ASP s Indemnification of Customer ASP shall at its own expense defend or at its option settle any claim brought against Customer to the extent it alleges infringement of any copyright trade secret patent or trademark of any third party
